Rights of SoundTalks, Use of Contents

All Contents of this website, including but not limited to texts, logos, images, trade marks, graphics, artwork, animations, audio files and software, are legally protected, for example by copyrights, moral rights or registered designs, pursuant to patent, trade mark, labelling, design or database law or due to trade secrets, privacy rights, confidentiality rights or similar rights. SoundTalks is either the owner or the licensee of all intellectual property rights to the software and its Contents or services. All rights remain with SoundTalks.

Trademarks, trade dresses, logos, graphics, sound and image components used on websites of SoundTalks shall not be copied or transferred, except as expressly permitted by the company of SoundTalks.

All rights not expressly granted herein are reserved.

Violations will be prosecuted under civil and criminal law and may result in severe penalties.

Additional Terms for the Protected Area

The following additional terms for the protected area of this website form an integral part of any agreement between SoundTalks, as provider, and you, as user of the website. By entering into the respective agreement, you irrevocably accept these additional terms. Any conflicting licence conditions or general terms and conditions shall not apply.

Upon completion of the registration process by you, an agreement for the use of the software and Contents of the website in accordance with these Terms of Use is concluded between SoundTalks and you.

We reserve the right to revise and amend these Terms of Use. Amendments shall be deemed accepted by you if we do not receive a written objection from you within a reasonable period of time set by us although you have been informed of the consequences of the expiry of the deadline and if you continue to use the website after the revised Terms of Use have been published.

Our website is targeted exclusively at entrepreneurs. We may therefore require you to provide us with sufficient proof of your entrepreneurial status before the conclusion of the agreement, e.g. by providing the VAT ID of your company or other suitable evidence. The data to be provided by you for the purpose of proof must be complete and correct.

SoundTalks grants you a non-exclusive and non-transferable worldwide right for the duration of the agreement to use the software of the website in connection with the "Sound Analytics" hardware ("Hardware") purchased by you or a third party (in each case limited to the farm at which the Hardware is installed). You are not permitted to rent, lease, sell, license, assign or otherwise transfer the right to use granted to you to any third party. However, if you have purchased the Hardware (for example, as a farmer) and make it available to additional users, you may designate such users to SoundTalks; SoundTalks will then unlock the software for such users and register them for use upon acceptance of these Terms of Use (at www.soundtalksweb.com/registration).

We endeavour to keep the website and the services accessible through it constantly available. However, in particular, maintenance, security or capacity issues as well as events beyond our control (such as disruptions of public communication networks, force majeure, etc.) may lead to unavoidable disruptions or to a temporary discontinuation of the software or services accessible through it.

A compatible internet browser is required to use the software.

We are not responsible for the user's data connection.

By providing performance data or other descriptions, even if they refer to DIN and / or other standards, SoundTalks does not assume any guarantee of quality.

Registration (Conclusion of Agreement)

The use of the protected area of the website and the software and Contents contained therein requires a separate registration. Being the first user of your farm and our contractual partner, you can register via the website (at www.soundtalksweb.com/registration). If you wish other users of your farm to be able to use the website, please provide us with the email addresses of these users. The designated users will then receive a link from us by email and are thus activated for your account.

The mere presentation of the website does not constitute an offer on our part to conclude an agreement for the use of the website. An agreement for the use of the website and the software and Contents contained therein comes into existence between you and us only after you have registered and we have sent you an immediate confirmation by separate email, which is then confirmed by you. No further technical steps are required to conclude the agreement.

The agreement is concluded in the English language.

You are obliged to protect the access data from access by third parties. When registering, you shall ensure that they are not obtained by third parties.

Chargeable Provision (Commercialization Phase)

The use of this website and the software and Contents contained therein will be subject to charge (commercialization phase). For the use of the website, a separate agreement shall then be concluded in accordance with the process described above under "Registration", in which the payable licence fee is also specified. This also applies to additional users designated by you who shall be able to use the website free of charge. The usage fee is due immediately upon conclusion of the agreement.

Termination

The contractual relationship between you and us will terminate automatically at the end of the commercialization phase, unless terminated earlier in accordance with the provisions below. The same applies to the commercialization phase, if any, following the pilot phase.

In the event of termination, the user and any other users designated by it shall immediately stop using the website and software and delete the software from their end devices. If you are designated by a user, you will be notified by us to this effect separately.

Data Backup and Data Protection

We do not guarantee permanent storage of the data transmitted to the website in the course of using the services. The user shall ensure that all data within the user's sphere of control are properly backed up.

We assume that, with regard to the processing of personal data, there is no joint responsibility between you and us within the meaning of Art. 26 of the General Data Protection Regulation (GDPR). In any case, we remain solely responsible for the processing of personal data, for example, if you designate to us employees or third parties for the use of the website whose personal data we process for contractual purposes (Art. 6 (1) b) GDPR). Accordingly, we assume all applicable obligations under data protection law, in particular, the information obligations under Art. 13, 14 GDPR, and address further data subject rights. You agree to support us where necessary, e.g. to inform us about requests from data subjects (e.g. employees) or to notify us immediately of data protection violations; the contact details relevant in this context may be found in our Privacy Policy under https://www.soundtalksweb.com/data-privacy.

Further Limitations of Liability (Protected Area)

During commercialization phase we shall also be liable for negligent breach of obligations the fulfilment of which is a prerequisite for the proper performance of the agreement, the breach of which jeopardises the achievement of the purpose of the agreement and the observance of which you, as a user, may generally rely upon. In the latter case, however, we shall only be liable for foreseeable damage typical for the agreement. The same applies to breaches of duty by our vicarious agents. The above exclusions of liability do not apply in the event of injury to life, body or health or in the event of liability under the Product Liability Act.

Other Provisions (Severability Clause)

Should individual provisions of these Terms of Use be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. The wholly or partially invalid provision shall be replaced by a provision which comes as close as possible to the economic purpose of the invalid provision in a legally permissible manner. The same applies to the filling of any contractual gap.

Applicable Law, Settlement of Disputes

These Terms are governed by Belgian law. Any disputes arising from these Terms shall be exclusively resolved by the courts of Leuven, Belgium. The application of the Convention of the United Nations on Contracts for the International Sale of Goods of 11 April 1980 (CISG) is excluded.
Exclusive place of jurisdiction is Leuven (Belgium).
